This role is for a strategic and experienced legal professional to serve as Corporate Secretary and Chief Ethics and Compliance Officer for ManpowerGroup. This position is critical to ensure sound corporate governance, legal compliance, and effective board operations across our global enterprise. This role requires deep expertise in corporate law, governance, and regulatory matters, along with a collaborative mindset aligned with ManpowerGroup’s values of people, knowledge, and innovation.
Key Accountabilities, Responsibilities
Corporate Secretary :
- Serve as the primary liaison to the Board of Directors and its committees, ensuring effective communication and governance support.
- Lead the planning and execution of board and committee meetings, including agenda development, materials preparation, and accurate minute-taking.
- Advise on governance policies, charters, and procedures in alignment with best practices and evolving regulatory standards.
- Support shareholder engagement and annual meeting logistics, including proxy preparation and disclosure compliance.
- Coordinate with internal stakeholders and external advisors to ensure timely and accurate governance reporting.
- Collaborate proactively with the Finance and Investor Relations teams to support shareholder engagement initiatives.
Regulatory Compliance :
Oversee / Lead all SEC matters for the corporation, including ensuring timely and accurate filings, including Forms 3, 4, and 5 under Section 16.Oversee compliance with NYSE listing standards and other applicable regulations.Monitor changes in corporate governance laws and advise on implications.Ensure ManpowerGroup’s compliance on other regulatory compliance matters, such as AI, Data Privacy, Sanctions, etc. This would be done in collaboration with other relevant functions within the company.Oversee Ethics & Compliance Program (policies, training, company-wide initiatives)Corporate Legal Leader :
Provide legal counsel on a wide range of corporate matters, including securities law, M&A, commercial contracts, and regulatory compliance.Draft, review, and negotiate complex agreements, including vendor, technology, and strategic partnership contracts.Support global compliance initiatives, including anti-corruption, data privacy, and employment law matters.Monitor legal and regulatory developments impacting the company and proactively advise leadership.Supervise legal aspects of franchise and trademark management.Collaborate with cross-functional teams including Finance, HR, Communications, and Risk to support enterprise-wide initiatives.Manage relationships with external counsel and oversee legal budgets related to corporate matters.People Leadership
