Am Law 100 firm representing overseas companies and investors seeks an associate to join their Private Fund Formation and Investment Management practice.

The ideal candidate must have a minimum of 4-5 years of experience working with private fund formation and compliance in a law firm environment. Candidates should have experience drafting fund-related documentation (e.g., partnership and operating agreements, PPMs, and subscription documents) and should be familiar with relevant regulatory issues, such as Investment Adviser Act compliance. Graduated with a JD or LLM from an ABA-accredited law school and must be admitted to or eligible for admission to the NY or MA bar. Excellent written / verbal communication skills, as this position requires immediate partner and client contact. High level of professionalism in working and engaging with demanding clients with the ability to balance and prioritize multiple competing priorities and responsibilities, be highly organized, and exercise extreme attention to detail

This position will focus primarily on private fund formation and regulatory compliance, including venture capital, private equity, real estate, and hedge funds.
