Salary / Payrate : $85-125k, and AWESOME benefits!!!

Work Environment : Hybrid 3 / 2 after 6 months

Term : Permanent / Fulltime

AMS Staffing has partnered with a very respectable firm in search for a Corporate Paralegal. This person will be responsible for working with attorneys managing corporate matters in conjunction with attorneys. The ideal candidate will have 4+ years working as a Corporate Paralegal managing the following :

Responsibilities :

• Managing general corporate governance matters including maintaining minute books;
• Assisting with corporate transactions including mergers, financing, reorganizations, and mergers;
• Perform due diligence efforts including organization and review of corporate documents;
• Assist with transaction closing, drafting closing checklists, certificates and post closing matters;
• Preparing entity formations;
• Drafting bylaws and other company documents;
• Perform Blue Sky filings;
• Experience with an equity management platform.
