BROAD-BASED CORPORATE TRANSACTIONS COUNSEL ATTORNEY

Location : New York, NY

Our client, an international Amlaw 50 law firm , is seeking a Counsel-level attorney with significant experience in broad-based corporate transactional matters to join its New York office. This is an exceptional opportunity to work on a wide variety of high-value transactions, including private equity M&A and financings, joint ventures, strategic alliances, and investment fund restructurings. The position sits within the firm’s tax department , offering unique exposure to sophisticated, cross-disciplinary matters involving top-tier clients.

Candidate Profile

  • JD from a top-tier US or Canadian law school with an excellent academic record
  • Active Bar Admission in New York , in good standing
  • 7–9 years of corporate transactional experience in a large law firm setting

Demonstrated experience with a broad range of transactions, including :

  • Private equity mergers & acquisitions and financings
  • Joint ventures and strategic alliance transactions
  • Restructuring transactions for investment funds
  • Familiarity with corporate tax matters is advantageous
  • Ability to manage multiple complex transactions simultaneously
  • Proven ability to work collaboratively across practice groups and with clients
  • Soft Skills : Exceptional analytical, drafting, and negotiation skills are essential

    • Key Responsibilities

  • Lead and manage corporate transactional matters from inception to closing
  • Negotiate and draft a wide range of transaction documents , including purchase agreements, joint venture agreements, financing documents, and restructuring agreements
  • Collaborate with colleagues in tax, finance, regulatory, and other related practice areas to provide integrated legal solutions
  • Advise clients on deal structures , risk allocation , and strategic considerations
  • Maintain and strengthen client relationships by delivering high-quality, responsive service

    Compensation & Benefits

  • Base Salary : $360,000+ annually, as determined by experience and market factors.
  • Bonus Eligibility .
