Independently owned and operated franchises provide national, regional and local businesses and

organizations with a one-stop resource for technologically advanced solutions for their printing, signage, marketing and graphics communications.

Summary / objective

The Vice President Legal & Franchise Compliance is a senior executive role responsible for overseeing all compliance matters and ensuring regulatory adherence across AFB’s franchise network. This position requires a strategic leader with deep expertise in franchise law, regulatory compliance, and corporate governance. The VP Legal & Franchise Compliance will work closely with the executive team to support the company's growth while mitigating risks and ensuring adherence to relevant laws and regulations.

Essential functions

  • Compliance Strategy and Management :

    • Develop and implement the company's compliance strategy to support business objectives.

  • Provide counsel to the executive team on a wide range of compliance issues, including corporate governance, regulatory matters, contracts, and dispute resolution.
  • Oversee and manage the company's compliance department and external resources.
  • Compliance Management :

    • Ensure all franchise operations comply with federal, state, and international laws and regulations.

  • Develop and enforce franchise agreements and disclosure documents (FDDs) in compliance with the Federal Trade Commission (FTC) and other relevant authorities.
  • File 6 FDDs annually and amend as required.
  • Risk Management :

    • Monitor changes in laws and regulations affecting franchise compliance and communicate these updates to relevant stakeholders.

  • Develop and implement policies and procedures to minimize risk and ensure effective risk management practices.
  • Training and Education :

    • Provide training and resources to Franchise Members and AFB Team Members on compliance matters.

  • Stay abreast of changes in laws and regulations affecting the franchise industry and communicate updates to relevant stakeholders.
  • Dispute Resolution Management :

    • Manage disputes, arbitration, and mediation related to franchise operations.

  • Work with external counsel and advisors to represent the company in compliance-related matters.
  • Contract Management :

    • Review and negotiate a wide range of legal documents, including franchise agreements, supplier contracts, and service agreements.

  • Manage the company's contract lifecycle, ensuring all contracts are current and enforceable.

  • Must be able to lift up to 15 pounds at times

    • Travel required

  • Company meeting in Plymouth, MI in July
  • Possible travel to annual Franchise Member convention

    • Required education and experience

  • Bachelor’s degree in business administration, compliance, or a related field, or Juris Doctorate.
  • Minimum of 10 years of experience in compliance or a related field, with at least 5 years in a senior compliance role, or minimum of 3 years’ experience as attorney.
  • Extensive knowledge of franchise law and regulatory compliance.
  • Proven track record of managing complex compliance issues and leading compliance teams.
  • Proficient in Microsoft Office.

    • Preferred education and experience

  • Preferred experience in franchising or multi-brand environment.
  • Master’s degree in business administration, compliance, or related field.
  • Experience with international franchising.
  • Certification in compliance or related fields (e.g., Certified Franchise Executive, Compliance and Ethics Professional).
