Junior to Mid-Level Associate – CLO & Structured Finance

Location : New York, NY

Time Type : Full-Time

Direct Counsel represents an AmLaw 100 firm seeking a junior to mid-level associate with CLO and structured finance experience to join its New York office . This role focuses on the design, structuring, and creation of CLOs and other credit products and is ideal for attorneys with experience advising on CLOs, direct lending, private credit, credit insurance, and syndicated loans .

Key Responsibilities :

Structure, draft, and negotiate CLOs, private credit facilities, syndicated loan agreements, and credit insurance arrangements .

Lead product development for new structured finance offerings , collaborating with business and capital markets teams.

Advise on regulatory considerations impacting structured finance transactions in U.S. and cross-border contexts.

Oversee transaction execution, including documentation, negotiation, and closings .

Partner with investment, risk, and compliance teams to ensure products align with commercial and regulatory objectives.

Track and analyze market and legal developments affecting credit products and structured finance structures.

Qualifications : JD or equivalent.

Admission to the New York Bar and in good standing.

Significant structured finance experience from a top-tier law firm.

Demonstrated ability to create and advise on structured products (CLOs, credit facilities, etc.).

Strong drafting, negotiation, and transaction management skills .

Ability to work independently while thriving in fast-paced, high-pressure environments .
