Location : Miami, FL or Chicago, IL

Job Description

We are representing a dynamic and fast-growing Corporate Practice seeking a mid-level associate to join their fund formation and investment management team. This is an excellent opportunity for an attorney with 4-6 years of experience to assist private equity, venture capital, and hedge fund managers in forming, structuring, and managing investment funds and related legal matters.

Responsibilities

Assist with the formation and structuring of private equity, venture capital, and hedge funds.

Represent clients in side letter negotiations and advise on investment opportunities.

Manage fundraising processes and ensure compliance with ongoing regulatory requirements.

Provide legal counsel on the day-to-day needs of fund managers and investors.

Collaborate on tax, securities laws, and fund economics.

Qualifications

4-6 years of experience in a large law firm setting, with a focus on fund formation and investment adviser work.

Strong academic credentials with excellent written and verbal communication skills.

Ability to work independently, take on responsibility, and manage multiple tasks in a fast-paced environment.

Knowledge of tax and securities laws, particularly as they apply to private funds.

Basic understanding of fund economics and willingness to learn.

Must be admitted or eligible for admission to practice in the jurisdiction of application.

Compensation

Base Salary Range : $250,000 – $320,000 / year (based on experience and location). Discretionary bonuses may also apply.
