Summary
The Legal Assistant to the VP of Legal Affairs provides high-level administrative and paralegal support to the Legal Affairs Department. This position is responsible for managing legal documentation, coordinating workflows, maintaining compliance records, supporting contract administration, and assisting with corporate governance and legal research. The Legal Assistant serves as a key liaison between the Legal Department and internal departments, external counsel, and regulatory agencies.
Duties and Responsibilities
- Provide direct administrative assistance to VP of Legal Affairs, including scheduling, correspondence, document preparation, and filing.
- Maintain and organize legal files, contracts and compliance documentation (both electronic and hard copy).
- Draft, proofread, and edit legal documents, memoranda, letters and reports.
- Track legal deadlines, filings, and required responses to regulatory inquiries, health plan notices or formal dispute matters including mediation, arbitration and litigation.
- Assist with contract preparation, review and execution under attorney supervision.
- Assist with maintenance of the contract management system, ensuring all agreements are current and properly archived.
- Monitor renewal and termination dates and coordinate with internal business units to ensure compliance with contract terms.
- Support preparation of Board and committee materials, including minutes, resolutions, and agendas.
- Maintain corporate records, filings, and entity documentation.
- Coordinate annual corporate filings and assist with internal policy updates.
- Support compliance initiatives, including training tracking, policy documentation, and reporting requirements.
- Assist with responding to subpoenas, public records requests, or discovery requests.
- Serve as a point of contact between the legal department and other departments, outside counsel, regulators and vendors.
- Maintain confidentiality and exercise sound judgment in handling sensitive information.
- Track department budgets, invoices, and outside counsel billing.
Minimum Job Requirements
Associate or Bachelor’s degree required; paralegal certificate preferredMinimum 3-5 years of experience as a legal assistant, paralegal, or in a corporate legal departmentExperiences supporting senior legal executives or working in-house strongly preferred.Proficiency in computer applications and / or databasesSkill and Abilities
Strong understanding of legal terminology, document formats and confidentiality principles.Excellent writing, proofreading and organizational skills.High attention to details and ability to manage multiple priorities under tight deadlines.Proficiency with Microsoft Office Suite and legal or contract management software (LinkSquares, Docu-sign)
