Director, Legal (Waabi Innovation US Inc, San Francisco, CA) : Lead the negotiation and execution of complex, small and large-scale contracts through initial review, analysis of proposals, and interpretation of all terms & conditions, including but not limited to : NDAs, MSAs, SOWs, SLAs, DPAs, and collaboration agreements while mitigating legal risks; Provide insight on industry and market standards for all clauses in commercial contracts; Draft contracts from scratch as needed to support various Waabi development efforts and business priorities; Collaborate closely with Global Supply Chain on contract databases, contract processes and export control protocols for Waabi; Oversee approval process for open-source datasets, software and model weight requests; Provide strategic guidance to the leadership team on litigation preparation, intellectual property filings and portfolio management, corporate governance, company structuring, employment advice and equity management among other topics; Manage corporate entities and records in multiple jurisdictions; Support fundraises, audits and other company-wide initiatives with legal implications; Own identifying and implementing legal process improvements & documentation including contract templates and company policies; Manage Waabi’s insurance program, regulatory compliance programs, external counsel projects and budget; and Attend board meetings as corporate secretary and provide information regarding the company's corporate and regulatory compliance, intellectual property portfolio, insurance program, and any high-risk or specific legal advice of note. In order to perform the above tasks, the following skills and experience are required : In-house counsel experience and corporate / business law experience at a multinational law firm; Experience managing external counsel; Experience negotiating commercial contracts, including extensive negotiations with international counterparties; Experience negotiating SaaS & Hardware development contracts; Experience working at a fast-paced technology company in the self-driving vehicle industry; Experience providing and recommending solutions to internal stakeholders and leadership within an organization; Experience with Google Workspace (formerly Google Suite) and Microsoft Office. Requires a Juris Doctor (JD) or foreign equivalent and at least five (5) years of experience as an Attorney, In-House Counsel or related occupation. Must be a member in good standing of a state bar.
