ARC is looking for an Assistant General Counsel to join our team. This role will report directly to the President & CEO with a matrixed reporting relationship to ARC’s external General Counsel. In this position, you will be responsible for developing and executing ARC’s legal strategy. You will lead the in-house Legal team and acts as the legal advisor to the Company’s management team and Board of Directors. You will play a pivotal role in fortifying our legal stance, optimizing opportunities, and avoiding legal pitfalls while maintaining a balance between risk and reward. You will safeguard ARC’s legal interests and upholds governance standards. You will offer comprehensive legal guidance to department staff, executives, and Board and Committee members, ensuring alignment with laws, regulations, contracts, and binding agreements. There will be a special focus on data privacy, compliance and governance is critical. You will identify, analyze, and address legal issues, draft essential documents, and present effective recommendations. You will capitalize on positive legal advancements and cost efficiencies while preventing detrimental outcomes, penalties, and fines.

What You'll Get to Do:

• Lead a team of legal professionals.
• Provide timely, practical, and sound advice to clients with respect to various other general corporate matters as they arise, including information-technology related issues, corporate real estate, corporate insurance, intellectual property issues, and privacy issues. Provide strategic advice to the Executive Team on all matters related to achieving ARC’s short-term and long-term strategic objectives and priorities.
• Participate and provide legal guidance at ARC Board of Director meetings and committees (held in-person and virtually) when required and in coordination with ARC’s external General Counsel. Review board communications.
• Provide legal counsel and guidance to the executive team and management on all legal matters affecting the company. Work directly with and advise key decision-makers in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues and managing risk.
• Develop and implement legal strategies to protect the company's interests and minimize legal risks. Stay up to date with changes in laws and regulations that may impact the company's operations and provide proactive advice and recommendations. Collaborate with cross-functional teams to ensure legal considerations are incorporated into business decisions and initiatives.
• Handle and resolve any legal disputes or litigation, working closely with external counsel when necessary.

You'll Bring These Qualifications:

• Juris Doctorate Degree required. Must be admitted into the Virginia State Bar.
• 8-10 years of relevant legal experience.
• Strong understanding of privacy law compliance, IT law and complex commercial contract negotiation.
• Proven leadership and managerial skills with the ability to mentor and develop legal team members.
• Ability to work well under pressure and meet deadlines.
• Excellent evaluation, problem-solving and analytical skills.
• Proficient in the use of basic office automation software.
• Excellent organizational skills.
• Independent, creative thinker who is a thought leader with ability to challenge the status quo when needed.
• Ability to keep abreast of current and changing trends, laws, and regulations affecting strategy and development of functional areas.
• Highly developed skills in communication, negotiation, conflict resolution, and leadership.
• Excellent oral/written and presentation skills. Detail oriented. Proficiency in preparation and presentation of analytical reports and documents regarding operational status, achievement, and performance.
