Direct Counsel is seeking a mid-level Corporate Associate to join a leading international law firm’s Emerging Growth & Venture Capital practice in San Diego. This role offers the opportunity to work closely with high-growth companies and the institutional investors that support them, across a wide range of venture capital financings, M&A transactions, and day-to-day corporate matters.
Role OverviewThe associate will focus on representing emerging growth companies and venture capital investors in sophisticated transactional matters, including venture financings and strategic transactions. The role provides significant client exposure and the opportunity to collaborate with a nationally recognized corporate platform.
Key ResponsibilitiesRepresent emerging growth companies and institutional investors in venture capital financings
Advise clients on mergers and acquisitions involving emerging and high-growth companies
Counsel founders, management teams, and investors on day-to-day corporate governance and operational matters
Draft and negotiate financing documents, acquisition agreements, and related corporate documentation
Conduct legal research and prepare high-quality transactional documents and client communications
Assist in managing complex transactions from inception through closing
Collaborate with attorneys across practice groups to deliver comprehensive client solutions
JD from an accredited law school
Active admission in the state of California (or eligibility to waive in)
Minimum of 4 years of Emerging Growth / Venture Capital experience
Experience representing both issuers and institutional investors in venture financings
M&A experience involving emerging growth companies
Prior Am Law 100 firm experience strongly preferred
Excellent drafting and negotiation skills
Strong written and verbal communication abilities
Exceptional attention to detail and sound business judgment
Strong organizational and project management skills
Ability to manage multiple matters in a fast-paced, collaborative environment
Client-service oriented mindset with the ability to work independently and as part of a team
Hybrid schedule with an in-office expectation of approximately three days per week
Based in the firm’s San Diego office
Expected compensation range: $310,000 – $390,000, depending on experience, qualifications, and geographic market
