Are you an ambitious transactional attorney with a passion for Mergers & Acquisitions and a desire for a balanced, hybrid work environment? Our client, a highly respected Seattle-based law firm, is seeking a talented Associate with 2 to 7 years of experience to join their thriving Corporate M&A practice.

This is an opportunity to handle sophisticated corporate transactions, including buy-side and sell-side M&A deals, and work directly with clients and partners, all while enjoying the flexibility of a hybrid schedule.

Position Details

The position is for a Mergers & Acquisitions Transactional Associate Attorney based in the Seattle, Washington (Downtown Office) . Candidates should have 2–7 Years of Corporate M&A / Transactional Experience . The role focuses on Corporate M&A, Capital Markets, and Business Transactions . Key Responsibilities

The successful candidate will be a vital member of the Transactional team, responsible for a broad range of corporate M&A and business matters, including :

  • Drafting, reviewing, and negotiating complex M&A transaction documents, including Purchase Agreements (Stock and Asset), letters of intent, and ancillary closing documents.
  • Conducting thorough corporate due diligence for both buy-side and sell-side transactions, including review of material contracts, corporate structure, and organizational documents.
  • Managing and facilitating all aspects of the M&A closing process.
  • Advising clients on general corporate governance, entity formation, and operational compliance issues.
  • Collaborating with specialized practice groups (e.g., tax, employment, real estate) on multi-faceted transactions.

    • Ideal Candidate Profile

  • J.D. from an accredited law school.
  • Active membership and good standing with the Washington State Bar (or willingness to become admitted promptly).
  • 2 to 7 years of dedicated experience practicing corporate M&A law at a law firm or in-house legal department.
  • Demonstrated proficiency in drafting and negotiating complex corporate transaction documents.
  • Strong analytical, writing, and communication skills.
  • A proactive, client-focused work ethic and the ability to manage multiple complex projects simultaneously.
