A top-10 AmLaw firm is seeking a talented mid-level Associate Attorney to join its Private Equity Practice Group in Austin . This is an excellent opportunity to work with a distinguished team advising leading private equity sponsors and their portfolio companies on complex corporate transactions. The role offers a flexible hybrid work arrangement in a high-performing, collaborative environment.
Candidate Profile
JD from a top-tier law school with an excellent academic record .
Active Bar Admission in Texas , in good standing.
3–5 years of substantive private equity experience .
Transaction Experience : Significant experience representing private equity sponsors and their portfolio companies in complex corporate transactions , including leveraged buyouts , mergers and acquisitions , recapitalizations , growth equity investments , and related matters.
AmLaw or SEC Background : Prior experience at a large law firm or regulatory agency (SEC) strongly preferred .
Client Engagement : Adept at managing client relationships, anticipating client needs, and providing strategic, solution-oriented legal counsel.
Demonstrated ability to draft and negotiate sophisticated deal documents and provide insightful guidance on legal risks and structuring.
Soft Skills : Excellent analytical and writing skills, strong business acumen, attention to detail, and the ability to work under pressure and manage competing demands in a fast-paced environment.
Key Responsibilities
Lead and Support Private Equity Transactions : Provide legal counsel on all stages of buy-side and sell-side private equity deals, including structuring, negotiation, due diligence, and execution.
Corporate Governance : Advise portfolio companies on day-to-day corporate matters and corporate governance issues.
Document Drafting & Review : Draft, negotiate, and review key transaction documents such as stock and asset purchase agreements, investment agreements, merger agreements, and ancillary documents.
Client Interaction : Maintain regular communication with clients and play a key role in managing deal timelines and expectations.
Cross-Practice Collaboration : Work closely with attorneys across practices including tax, employment, and finance to provide comprehensive legal support.
