Overview
Direct Counsel is recruiting a mid-to-senior level corporate associate attorney to join the Emerging Companies & Venture Capital team. The ideal candidate has 4–6 years of experience in sophisticated corporate transactions, with a focus on venture capital, emerging company representation, mergers & acquisitions, and technology company transactions.

Key Responsibilities

• Advise emerging growth companies and venture capital investors on corporate governance, financing, and transactional matters.

• Draft, negotiate, and review investment agreements, M&A agreements, stockholder agreements, and other corporate documents.

• Support mergers & acquisitions and venture financing transactions from inception through closing.

• Collaborate closely with partners, clients, and cross-disciplinary teams on strategic and complex matters.

Qualifications

• 4–6 years of corporate and venture capital experience at a national or large law firm.

• Experience with technology-focused clients preferred.

• JD from an accredited law school and active membership in the bar of the state where practicing.

• Strong drafting, analytical, and communication skills.

• Ability to manage multiple matters efficiently in a collaborative team environment.

Compensation
The anticipated salary range for this role is $265,000 – $390,000, depending on experience and location.
