Summary:
This position provides paralegal support to the small Legal team of this 3 Billion dollar company with a focus on corporate maintenance. The Paralegal role requires considerable initiative, independent judgment, resourcefulness, and the ability to manage multiple priorities in a fast-paced environment. This position also prepares and handles sensitive and confidential information with an emphasis on maximum discretion.
Responsibilities:
SEC
Assisting with the preparation and filing of Forms 3,4 and 5; quarter financial reports; 8-k; annual proxy statement and other SEC filings.
Board of Directors
Attending Board and Committee meetings as necessary to assist with the drafting of minutes.
Assisting with preparation of quarterly board meeting materials, board postings, and board calendar.
Assisting with the preparation of director and officer questionnaires, new director onboarding, director compensation payments processing, director communications, and other such activities as may be necessary.
Corporate
Managing subsidiary annual meeting process for US and international based affiliates, including drafting of board and shareholder resolutions to elect directors, officers, and coordinating signatures.
Drafting other corporate resolutions and actions relating to corporate restructurings, purchases and sales of property or assets, mergers, capitalizations, contributions, etc.
Prepare certified resolutions and documents, incumbency certificates for internal and external partners.
Entity Management
Organizing, maintaining corporate minute books, records and files, and maintaining Company’s subsidiary management database.
Preparing and filing of corporate formations, qualifications, withdrawals and consolidations, apostilles and legalizations.
Draft governing documents including bylaws, limited liability company agreements, and partnership agreements.
Contract Management
Review contracts and legal documents to locate certain data and information.
Enter data and information from contracts into contract management system.
Draft routine contracts and agreements, such as NDAs.
Other
Manage and organize documents, files, and databases associated with the Legal Department.
Assist with a variety of other requests to support the legal department as may arise from time to time, including contract review and providing support on real estate, debt and financing or M&A transactions.
Draft internal memos, executive summaries, and other correspondence.
Prepare spreadsheets, organizational charts, timelines, presentations, project management tracking.
Qualifications:
Graduation from an American Bar Association certified paralegal school
Must have a minimum of 5 years of previous experience in a corporate legal department.
