A top-10 AmLaw firm is seeking a talented Transactional Tax Associate Attorney to join its Corporate Practice Group . This is an exciting opportunity for a seasoned tax professional to advise on complex middle-market M&A and private equity transactions within a dynamic, collaborative environment.
Candidate Profile
- JD from a top-tier law school with e xcellent academic credentials
- Active Bar Admission in the relevant jurisdiction , in good standing
- 5+ years of substantive transactional tax experience, preferably gained at an AmLaw 100 firm
- Demonstrated experience advising on tax aspects of mergers , acquisitions , and private equity (PE) transactions in the middle market PE space
- Strong analytical, drafting, and research skills with exceptional attention to detail
- Excellent business judgment, organizational abilities, and interpersonal communication skills
- Ability to manage multiple complex transactions simultaneously and work both independently and collaboratively with cross-functional teams
Key Responsibilities
Advise clients on the federal , state , and international tax implications of corporate transactions , including mergers, acquisitions, divestitures, and joint venturesDraft , review , and negotiate tax-related provisions in transactional documentsConduct detailed tax due diligence and provide risk assessments to clients and deal teamsCollaborate with corporate, finance, and other practice groups to d eliver comprehensive tax solutions that align with clients’ strategic goalsStay current on evolving tax laws and regulatory developments impacting M&A and private equity transactionsMaintain strong client relationships through clear communication, responsiveness, and a commitment to delivering high-quality workWhy Join Us?

Compensation & Benefits
