Conducting thorough corporate due diligence for both buy-side and sell-side transactions, including review of material contracts, corporate structure, and organizational documents. Managing and facilitating all aspects of the M&A closing process. Advising clients on general corporate governance, entity formation, and operational compliance issues. Collaborating with specialized practice groups (e.g., tax, employment, real estate) on multi-faceted transactions. J.D. from an accredited law school. Active membership and good standing with the Washington State Bar (or willingness to become admitted promptly). 2 to 7 years of dedicated experience practicing corporate M&A law at a law firm or in-house legal department. Demonstrated proficiency in drafting and negotiating complex corporate transaction documents. Strong analytical, writing, and communication skills. A proactive, client-focused work ethic and the ability to manage multiple complex projects simultaneously.
