About the Opportunity :

  • We are seeking an Associate who demonstrates exceptional attention to detail, strong organizational skills, and the ability to proactively manage tasks while meeting strict deadlines.
  • A hybrid work schedule is available for this role.

Key responsibilities can include :

  • Manage a caseload of litigation files from inception to final resolution.
  • Manage discovery matters, including taking and defending depositions, and drafting and responding to written discovery requests.
  • Conduct legal research and draft legal documents, including pleadings, motions, and briefs.
  • Prepare for and attend court proceedings, arbitrations, administrative hearings, and mediations.
  • Communicate with clients, opposing counsel, and other parties involved in the litigation process.
  • Collaborate with colleagues on complex legal issues and strategies.
  • Form and organize LLCs, corporations, and other business entities, including drafting operating agreements, shareholder agreements, and governance policies.
  • Advise owners, executives, and boards on ongoing governance, compliance, and business operations.
  • Draft, review, and negotiate a wide range of commercial contracts, including service agreements, vendor and supply agreements, employment and contractor arrangements, and other operational contracts.
  • Represent buyers and sellers in small- to middle-market M&A transactions, including asset and equity deals.
  • Structure, draft, and negotiate purchase agreements and ancillary transaction documents.
  • Coordinate and perform due diligence, identify legal risks, and develop practical, strategic solutions.
  • Assist closely held and family-owned businesses with leadership transition planning, ownership transfers, and buy-sell agreement strategies.
  • Provide practical, business-focused guidance to help clients achieve commercial goals and manage risk.

    • About You :

  • The ideal candidate for this role holds a Juris Doctor (J.D.) from an accredited law school and is licensed to practice law in Michigan, or is eligible for immediate admission.
  • This individual also has an interest in insurance defense, business succession planning, mergers and acquisitions, and / or operation agreements.  Powered by JazzHR
